These Conditions of Use are entered into by and between you and BuyPal Inc ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Conditions of Use"), govern and apply to (1) your access to and use of Buypal.com, including any content, functionality, and services offered on or through Buypal.com (the "Website"), whether as a guest or a registered user; and (2) your purchase of products and services through Buypal.com, whether as a guest or a registered user.

You should also carefully review our Privacy Policy, which is incorporated by reference, before placing an order for products or services through this Website.

This Website is offered and available to users who are 18 years of age or older, and reside in the United States. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website, or order products or services from this Website.

We may revise and update these Conditions of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction and Dispute Resolution and Binding Arbitration will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.

Your continued use of the Website following the posting of revised Conditions of Use means that you accept and agree to the changes. You are expected to check this page from time to time as you access this Website so you are aware of any changes, as they are binding on you.

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

You are responsible for both:

• Making all arrangements necessary for you to have access to the Website.
• Ensuring that all persons who access the Website through your internet connection are aware of these Conditions of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you log out of your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Conditions of Use.

The Website may offer registered user accounts with membership features. For purposes of these Conditions of Use, a user who registers for a no-fee membership account is a "Free Member," and a user who purchases a paid membership plan is a "Paid Member." References to "Members" include both Free Members and Paid Members unless the context requires otherwise.

Free Memberships.

Free Memberships do not require a recurring membership fee. Free Members may receive the Base Credit advertised for eligible purchases, subject to these Conditions of Use, the terms displayed on the applicable product page, and any promotional terms that apply.

Paid Memberships.

Paid Members purchase additional membership benefits on either a month-by-month basis or an annual basis. Paid Members may receive Loyalty Credit for eligible purchases. Loyalty Credit means an account credit equal to double the advertised Base Credit for the eligible item, subject to these Conditions of Use, the terms displayed on the applicable product page, and any promotional terms that apply.

Monthly Memberships.

A month-by-month Paid Membership is $15.00 per month. Unless otherwise stated at checkout, a monthly Paid Membership renews each month until canceled. If you cancel during a partial monthly membership period, the cancellation is effective at the end of the then-current monthly billing period, your Paid Member benefits continue until that time, and no partial-month refund will be issued unless required by applicable law.

Annual Memberships.

An annual Paid Membership is $120.00 per year. Unless otherwise stated at checkout, an annual Paid Membership renews each year until canceled. You may terminate an annual Paid Membership at any time. Refunds for annual Paid Memberships are prorated using 12 months, with the annual fee allocated at $10 per month. The refund will be calculated based on the unused monthly portions of the then-current annual membership period after the termination effective date, unless applicable law requires a different calculation. For example, where a membership effective from March 3 of one year to March 2 of the following, a termination on July 17 of the first year entitles you to a refund starting on August 3 of, the next whole months.

Managing and canceling memberships.

You may cancel a Paid Membership through the account-management tools made available on the Website. We may require reasonable account-verification information before processing a cancellation or refund request. To avoid a renewal charge, you must cancel before the renewal date. If you believe you were charged after a timely cancellation, you should contact us promptly.

Membership prices, features, and eligibility requirements may change. If we change the price of a Paid Membership or materially change membership benefits, we will provide notice as required by applicable law and the change will apply to the next renewal or as otherwise disclosed. Memberships, benefits, and credits are personal to the account holder and may not be sold, transferred, assigned, shared, or used for commercial resale purposes.

We may suspend, downgrade, or terminate a membership, cancel pending benefits, or revoke credits if we determine, in our sole discretion, that an account has been used in violation of these Conditions of Use, to commit fraud or abuse, to manipulate prices or credits, to create multiple accounts for improper purposes, or to engage in conduct harmful to BuyPal, other users, sellers, suppliers, or the Website.

The Website may display a BuyPal account credit opportunity for eligible products. The displayed credit is a contingent promotional account credit and is not cash, legal tender, a stored-value account, a bank account, a gift card, or a discount unless the Website expressly states otherwise.

Base Credit.

"Base Credit" means the dollar amount of BuyPal credit advertised for an eligible item and available to a Free Member who completes an eligible purchase while logged into the applicable account and otherwise satisfies these Conditions of Use.

Loyalty Credit.

"Loyalty Credit" means the dollar amount of BuyPal credit available to a Paid Member for an eligible item. Unless otherwise stated on the applicable product page or promotion, Loyalty Credit equals two times the advertised Base Credit for that item.

For each eligible item, the Website may display two (2) dollar amounts. The first amount, sometimes referred to in these Conditions of Use as "Price 1," is the purchase price that the buyer must pay for the item, before any applicable taxes, shipping, handling, or other charges. Price 1 is displayed in [COLOR] and may appear as follows:

Underneath Price 1, the Website may display a sticker showing the dollar amount of Base Credit that the buyer may receive back as a BuyPal credit after the return period closes. Paid Memberships automatically receive two (2) times the Base Credit as the Loyalty Credit. This display appears is [COLOR], is referred to as the "Credit Sticker", and may appear as follows:

The Credit Sticker is not a reduction of Price 1 at checkout, and does not mean that BuyPal will pay or refund cash to you. You must pay the purchase price and all applicable charges at checkout. Credits are tracked as pending until they vest under these Conditions of Use.

The credit amount applicable to an eligible purchase is generally determined by your membership status when the order is placed. To receive Base Credit or Loyalty Credit, you must be logged into the applicable account, the item must be eligible, the order must be accepted by BuyPal, and the order must not be canceled, returned, refunded, charged back, or otherwise reversed before the credit vests.

All product purchases through the Website have a 30-day return policy unless a longer period is stated by BuyPal in writing or required by applicable law. Credits for an eligible item vest only after the 30-day return period for that item closes. For purposes of these Conditions of Use, the 30-day return period begins upon delivery of the item unless the applicable product page or return instructions state a different beginning date.

If an item is returned, canceled, refunded, charged back, adjusted, or deemed ineligible before the applicable return period closes, no credit for that item will vest. If a credit is issued in error, or if an order is later reversed, adjusted, or found to have involved fraud, abuse, or mistake, we may cancel, reverse, deduct, or offset the credit from your account.

Credits are issued on an item-by-item basis and may be reduced to account for application of earned credits to Price 1, discounts, coupons, taxes, shipping, handling, refunds, partial returns, price adjustments, or other order adjustments. Unless expressly stated otherwise, credits are calculated on the merchandise purchase price of the eligible item, excluding taxes, shipping, handling, membership fees, gift cards, and other fees.

Vested credits may be used only for eligible future purchases through the Website and only in the manner made available by BuyPal. Vested credits expired if not used within two (2) years of vesting. Credits have no cash value, are not transferable, may not be redeemed for cash, may not be sold, and may not be used to purchase memberships, gift cards, or other excluded items unless BuyPal expressly permits that use.

Promotional credits, limited-time credits, category-specific credits, and credits issued as part of a special offer may be subject to additional terms, limitations, expiration dates, and eligibility requirements displayed with the promotion. If a promotion conflicts with these Conditions of Use, the promotion terms control for that promotion only.

We reserve the right to correct credit display errors, pricing errors, product eligibility errors, or account errors at any time. If a product page, checkout page, order confirmation, email, forum post, advertisement, or other communication incorrectly states or implies that a credit is available, we may correct the error and cancel, refuse, or adjust the related order or credit.

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Conditions of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

The Company name, the terms BuyPal, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

You may use the Website only for lawful purposes and in accordance with these Conditions of Use. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

You should not post any information that you consider confidential, proprietary, private, or sensitive. Forum areas may be visible to other users and, depending on the feature, may be visible to the public or indexed by search engines.

By providing any User Contribution on or through the Website, you grant BuyPal, our affiliates, service providers, licensees, successors, and assigns a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable right and license to use, reproduce, modify, adapt, edit, excerpt, translate, create derivative works from, perform, display, distribute, publish, transmit, store, and otherwise disclose or exploit that User Contribution in connection with operating, providing, improving, promoting, marketing, and protecting the Website, products, services, memberships, credit program, forums, and business.

You retain ownership of any rights you may have in your User Contributions, subject to the license granted above. You waive, to the fullest extent permitted by law, any moral rights, rights of attribution, rights of integrity, or similar rights you may have in User Contributions as against BuyPal and our permitted users of those materials.

You represent and warrant that you own or control all rights in and to your User Contributions, that you have the right to grant the license above, that your User Contributions are accurate to the best of your knowledge, and that your User Contributions comply with these Conditions of Use and all applicable laws.

You understand and acknowledge that you are responsible for any User Contribution you submit or contribute, and you, not BuyPal, have full responsibility for the content, legality, reliability, accuracy, and appropriateness of such material. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user.

BuyPal forums and other Interactive Services are provided to facilitate lawful, respectful, and relevant commentary, feedback, discussions, and questions about products, services, memberships, credits, and related topics. We may provide additional forum rules or posting guidelines, and those rules are incorporated into these Conditions of Use.

• Post only under your own account and do not misrepresent your identity, affiliation, membership status, purchasing history, or relationship with BuyPal, a supplier, another user, or any third party.
• Keep posts relevant to the forum, product, service, or discussion in which they appear. Do not flood, spam, derail, or repeatedly post the same or substantially similar content.
• Product reviews, ratings, and recommendations must reflect your genuine opinion and, where applicable, your actual experience with the product or service. You must disclose any incentive, sponsorship, employment, compensation, free product, family relationship, or other material connection that could affect the weight or credibility of your review.
• Do not post private information about yourself or others, including addresses, phone numbers, email addresses, payment information, account credentials, order numbers, government identification numbers, health information, or other sensitive information.
• Do not upload or post photos, videos, recordings, names, likenesses, or personal information of another person unless you have all consents and rights necessary to do so.

• Cause annoyance, inconvenience, needless anxiety, embarrassment, alarm, or distress, or be likely to upset or harass another person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization, including BuyPal, a supplier, a moderator, or another user.
• Involve contests, sweepstakes, chain letters, pyramid schemes, barter, advertising, commercial solicitation, affiliate links, referral-code promotion, or other sales activities without our prior written consent.
• Contain viruses, Trojan horses, worms, logic bombs, corrupted files, spyware, or other software or material that is malicious, technologically harmful, or intended to damage, intercept, or expropriate any system, data, or personal information.
• Disclose another person's personal information, confidential information, trade secrets, or non-public information without authorization.
• Give the impression that the material emanates from or is endorsed by BuyPal or any other person or entity if that is not the case.
• Interfere with the operation of the Website, forums, memberships, credit program, security features, or any user's enjoyment of the Website.

If you believe that your intellectual property rights have been infringed, please see our Intellectual Property Infringement and Copyright Policy for instructions on sending us a notice of infringement. It is the policy of the Company to terminate the user and supplier accounts of repeat infringers.

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered. You will not be charged until your order is in shipping preparation.

All prices, discounts, credits, Credit Stickers, and promotions posted on the Website are subject to change without notice. The price charged for a product, service, or membership will be the price in effect at the time the order or membership purchase is placed and will be set out in your order confirmation or membership confirmation, subject to correction of errors as provided in these Conditions of Use.

For each eligible item, the Website may display two dollar amounts. Price 1 is the purchase price the buyer must pay for the item. Under Price 1, the Website may display a Credit Sticker showing the dollar amount of Base Credit or Loyalty Credit the buyer may receive back as a BuyPal credit. The Credit Sticker is not a cash rebate, not an immediate discount, and not a promise that a credit has vested at checkout.

Free Members receive the Base Credit advertised for eligible purchases. Paid Members receive Loyalty Credit for eligible purchases, which is double the advertised Base Credit unless the applicable product page or promotional terms state otherwise. All credits remain pending until the applicable 30-day return period closes and the other credit requirements in these Conditions of Use are satisfied.

Posted prices do not include taxes or charges for shipping, handling, processing, membership fees, or other applicable charges unless expressly stated. All such taxes and charges will be added to your merchandise total and itemized in your shopping cart, checkout page, or order confirmation.

We strive to display accurate price and credit information, but we may occasionally make typographical errors, inaccuracies, or omissions related to pricing, credits, product descriptions, membership benefits, availability, shipping, taxes, or promotions. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel or refuse any order, membership, or credit arising from such occurrences.

We may offer promotions that affect pricing, credits, shipping, memberships, or other benefits and that are governed by terms and conditions separate from these Conditions of Use. If there is a conflict between the terms for a promotion and these Conditions of Use, the promotion terms will govern for that promotion only.

Terms of payment are within our sole discretion. Unless otherwise agreed by us in writing, payment must be received by us before we accept or fulfill an order. We accept the payment methods displayed at checkout. You represent and warrant that the payment information you supply is true, correct, complete, and authorized, and that charges incurred by you will be honored by your payment provider.

By purchasing a Paid Membership that renews, you authorize BuyPal and its payment processors to charge your selected payment method for the recurring membership fees, taxes, and other applicable charges at the then-current rate until you cancel as provided in these Conditions of Use.

We will arrange for shipment of products to you. Please check the individual product page and checkout page for delivery options, shipping methods, and estimated delivery dates. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for delays in shipments.

Fees or charges for shipping may include shipping, handling, processing, labor, packaging, warehousing, insurance, return-processing infrastructure, call center costs, distribution center costs, carrier charges, and related order-fulfillment costs.

BuyPal is committed to providing dispute resolution to consumers at a reasonable cost. Payment of filing, administration, and arbitrator fees will be governed by AAA rules. However, for consumer claims totaling less than $5,000, BuyPal will reimburse your portion of arbitrator fees up to $2,500 unless the arbitrator determines that one or more of your claims are frivolous, were brought for an improper purpose, or are not eligible for reimbursement under applicable law or the AAA rules.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or these Conditions of Use are void, voidable, or otherwise invalid, except that any challenge to the class action waiver below may be resolved only by a court of competent jurisdiction.
