Terms of Service

These Conditions of Use are entered into by and between you and BuyPal Inc ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Conditions of Use"), govern and apply to (1) your access to and use of Buypal.com, including any content, functionality, and services offered on or through Buypal.com (the "Website"), whether as a guest or a registered user; and (2) your purchase of products and services through Buypal.com, whether as a guest or a registered user.

You should also carefully review our Privacy Policy, which is incorporated by reference, before placing an order for products or services through this Website.

This Website is offered and available to users who are 18 years of age or older, and reside in the United States. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website, or order products or services from this Website.

We may revise and update these Conditions of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction and Dispute Resolution and Binding Arbitration will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.

Your continued use of the Website following the posting of revised Conditions of Use means that you accept and agree to the changes. You are expected to check this page from time to time as you access this Website so you are aware of any changes, as they are binding on you.

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

You are responsible for both:

• Making all arrangements necessary for you to have access to the Website.
• Ensuring that all persons who access the Website through your internet connection are aware of these Conditions of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you log out of your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Conditions of Use.

The Website may offer registered user accounts with membership features. For purposes of these Conditions of Use, a user who registers for a no-fee membership account is a "Free Member," and a user who purchases a paid membership plan is a "Paid Member." References to "Members" include both Free Members and Paid Members unless the context requires otherwise.

Free Memberships.

Free Memberships do not require a recurring membership fee. Free Members may receive the Base Credit advertised for eligible purchases, subject to these Conditions of Use, the terms displayed on the applicable product page, and any promotional terms that apply.

Paid Memberships.

Paid Members purchase additional membership benefits on either a month-by-month basis or an annual basis. Paid Members may receive Loyalty Credit for eligible purchases. Loyalty Credit means an account credit equal to double the advertised Base Credit for the eligible item, subject to these Conditions of Use, the terms displayed on the applicable product page, and any promotional terms that apply.

Monthly Memberships.

A month-by-month Paid Membership is $15.00 per month. Unless otherwise stated at checkout, a monthly Paid Membership renews each month until canceled. If you cancel during a partial monthly membership period, the cancellation is effective at the end of the then-current monthly billing period, your Paid Member benefits continue until that time, and no partial-month refund will be issued unless required by applicable law.

Annual Memberships.

An annual Paid Membership is $120.00 per year. Unless otherwise stated at checkout, an annual Paid Membership renews each year until canceled. You may cancel an annual Paid Membership at any time. If you do, your Paid Membership ends at the end of the then-current monthly period of your annual term (each monthly period runs from the same day of the month your annual term started), and your Paid Member benefits continue until then. When it ends, we will refund the annual fee you paid minus the monthly Paid Membership price for each monthly period you used, including the one in which you cancelled. Refunds are made to the original payment method. The amounts used and refunded include any tax charged on the annual fee. If the monthly price for the periods you used equals or exceeds the annual fee you paid, no refund is issued and your Paid Membership instead continues until the end of your then-current annual term.

Changing your billing period.

If you switch between monthly and annual billing, the change takes effect at the end of your then-current billing period. Your current membership and its benefits continue until then, and no charge, credit, or refund is made at the time of the switch. From the effective date, you will be charged the price of the billing period you switched to.

Managing and canceling memberships.

You may cancel a Paid Membership through the account-management tools made available on the Website. We may require reasonable account-verification information before processing a cancellation or refund request. To avoid a renewal charge, you must cancel before the renewal date. If you believe you were charged after a timely cancellation, you should contact us promptly.

Membership prices, features, and eligibility requirements may change. If we change the price of a Paid Membership or materially change membership benefits, we will provide notice as required by applicable law and the change will apply to the next renewal or as otherwise disclosed. Memberships, benefits, and credits are personal to the account holder and may not be sold, transferred, assigned, shared, or used for commercial resale purposes.

We may suspend, downgrade, or terminate a membership, cancel pending benefits, or revoke credits if we determine, in our sole discretion, that an account has been used in violation of these Conditions of Use, to commit fraud or abuse, to manipulate prices or credits, to create multiple accounts for improper purposes, or to engage in conduct harmful to BuyPal, other users, sellers, suppliers, or the Website.

The Website may display a BuyPal account credit opportunity for eligible products. The displayed credit is a contingent promotional account credit and is not cash, legal tender, a stored-value account, a bank account, a gift card, or a discount unless the Website expressly states otherwise.

Base Credit.

"Base Credit" means the dollar amount of BuyPal credit advertised for an eligible item and available to a Free Member who completes an eligible purchase while logged into the applicable account and otherwise satisfies these Conditions of Use.

Loyalty Credit.

"Loyalty Credit" means the dollar amount of BuyPal credit available to a Paid Member for an eligible item. Unless otherwise stated on the applicable product page or promotion, Loyalty Credit equals two times the advertised Base Credit for that item.

For each eligible item, the Website may display two (2) dollar amounts. The first amount, sometimes referred to in these Conditions of Use as "Price 1," is the purchase price that the buyer must pay for the item, before any applicable taxes, shipping, handling, or other charges. Price 1 is displayed in [COLOR] and may appear as follows:

Underneath Price 1, the Website may display a sticker showing the dollar amount of Base Credit that the buyer may receive back as a BuyPal credit after the return period closes. Paid Memberships automatically receive two (2) times the Base Credit as the Loyalty Credit. This display appears is [COLOR], is referred to as the "Credit Sticker", and may appear as follows:

The Credit Sticker is not a reduction of Price 1 at checkout, and does not mean that BuyPal will pay or refund cash to you. You must pay the purchase price and all applicable charges at checkout. Credits are tracked as pending until they vest under these Conditions of Use.

The credit amount applicable to an eligible purchase is generally determined by your membership status when the order is placed. To receive Base Credit or Loyalty Credit, you must be logged into the applicable account, the item must be eligible, the order must be accepted by BuyPal, and the order must not be canceled, returned, refunded, charged back, or otherwise reversed before the credit vests.

The return policy disclosed for the selected item at checkout and saved with your order governs ordinary returns, including its return window, conditions, final-sale restrictions and any disclosed charges. The return window begins upon delivery unless that policy states otherwise. Eligible purchase and referral credits remain pending for at least 31 days after delivery and at least one day after the applicable ordinary return window has closed; they become available on the next scheduled daily release. An active return delays release of the affected credits. Final-sale status does not make earned credit available immediately. Applicable statutory rights are unaffected.

Notwithstanding the preceding paragraph, after an eligible item is delivered and while its return period is still open, BuyPal may offer you the option to give up your right to return that item in exchange for having its credit vest immediately. To use this option you must confirm that you have checked the item, that it arrived as described, and that it is not damaged or defective. Once you choose this option for an item, the choice is final: you can no longer return that item through the Website for any reason, and the credit for that item (and any referral credit tied to it) vests at that time and expires two (2) years after it vests. If a problem with the item appears later, contact Support@buypal.com; we may offer a replacement or a refund of the amount you paid for the item less the credit that vested early. Choosing this option does not affect any statutory rights or manufacturer warranty that applies to the item.

If an item is returned, canceled, refunded or deemed ineligible while its associated earned credits are pending, the affected pending purchase and referral credits are canceled. An ordinary product return does not take back earned credits that have already become available. Separate corrections for fraud, abuse or credits issued in error remain subject to these Conditions of Use and applicable law.

Credits are issued on an item-by-item basis and may be reduced to account for application of earned credits to Price 1, discounts, coupons, taxes, shipping, handling, refunds, partial returns, price adjustments, or other order adjustments. Unless expressly stated otherwise, credits are calculated on the merchandise purchase price of the eligible item, excluding taxes, shipping, handling, membership fees, gift cards, and other fees.

Vested credits may be used only for eligible future purchases through the Website and only in the manner made available by BuyPal. Vested credits expired if not used within two (2) years of vesting. Credits have no cash value, are not transferable, may not be redeemed for cash, may not be sold, and may not be used to purchase memberships, gift cards, or other excluded items unless BuyPal expressly permits that use.

Promotional credits, limited-time credits, category-specific credits, and credits issued as part of a special offer may be subject to additional terms, limitations, expiration dates, and eligibility requirements displayed with the promotion. If a promotion conflicts with these Conditions of Use, the promotion terms control for that promotion only.

We reserve the right to correct credit display errors, pricing errors, product eligibility errors, or account errors at any time. If a product page, checkout page, order confirmation, email, forum post, advertisement, or other communication incorrectly states or implies that a credit is available, we may correct the error and cancel, refuse, or adjust the related order or credit.

The Website may contain product reviews, comment areas, feedback tools, question-and-answer features, discussion boards, message boards, photos, videos, chat rooms, forums, bulletin boards, user profiles, media uploads, community spaces, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, transmit, or otherwise make available to other users or other persons content or materials (collectively, "User Contributions") on or through the Website.

User Contributions include, without limitation, commentary, feedback, discussions, questions, answers, product reviews, ratings, photographs, videos, usernames, profile information, messages, suggestions, ideas, complaints, and any other materials that you submit to or through the Website or any BuyPal forum.

All User Contributions must comply with the Content Standards set out in these Conditions of Use. User Contributions are not confidential and are not proprietary to you as against BuyPal. You should not post any information that you consider confidential, proprietary, private, or sensitive. Forum areas may be visible to other users and, depending on the feature, may be visible to the public or indexed by search engines.

By providing any User Contribution on or through the Website, you grant BuyPal, our affiliates, service providers, licensees, successors, and assigns a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable right and license to use, reproduce, modify, adapt, edit, excerpt, translate, create derivative works from, perform, display, distribute, publish, transmit, store, and otherwise disclose or exploit that User Contribution in connection with operating, providing, improving, promoting, marketing, and protecting the Website, products, services, memberships, credit program, forums, and business.

You retain ownership of any rights you may have in your User Contributions, subject to the license granted above. You waive, to the fullest extent permitted by law, any moral rights, rights of attribution, rights of integrity, or similar rights you may have in User Contributions as against BuyPal and our permitted users of those materials.

You represent and warrant that you own or control all rights in and to your User Contributions, that you have the right to grant the license above, that your User Contributions are accurate to the best of your knowledge, and that your User Contributions comply with these Conditions of Use and all applicable laws.

You understand and acknowledge that you are responsible for any User Contribution you submit or contribute, and you, not BuyPal, have full responsibility for the content, legality, reliability, accuracy, and appropriateness of such material. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user.

BuyPal forums and other Interactive Services are provided to facilitate lawful, respectful, and relevant commentary, feedback, discussions, and questions about products, services, memberships, credits, and related topics. We may provide additional forum rules or posting guidelines, and those rules are incorporated into these Conditions of Use.

• Post only under your own account and do not misrepresent your identity, affiliation, membership status, purchasing history, or relationship with BuyPal, a supplier, another user, or any third party.
• Keep posts relevant to the forum, product, service, or discussion in which they appear. Do not flood, spam, derail, or repeatedly post the same or substantially similar content.
• Product reviews, ratings, and recommendations must reflect your genuine opinion and, where applicable, your actual experience with the product or service. You must disclose any incentive, sponsorship, employment, compensation, free product, family relationship, or other material connection that could affect the weight or credibility of your review.
• Do not post private information about yourself or others, including addresses, phone numbers, email addresses, payment information, account credentials, order numbers, government identification numbers, health information, or other sensitive information.
• Do not upload or post photos, videos, recordings, names, likenesses, or personal information of another person unless you have all consents and rights necessary to do so.
• Do not use forums to conduct off-platform sales, advertise goods or services, solicit other users, request payment, arrange trades, collect donations, recruit for business opportunities, or promote referral, affiliate, coupon, or credit manipulation schemes without our prior written consent.
• Do not provide instructions for fraud, evasion of credit rules, abuse of return policies, unauthorized access, scraping, malware, security circumvention, or other misuse of the Website.
• Do not rely on forum content as professional, legal, financial, medical, safety, technical, or product-compliance advice. User Contributions reflect the views of the posting user and do not necessarily reflect the views of BuyPal.

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Conditions of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
• Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Conditions of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, threatening, invasive of privacy, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, self-harm, cruelty, exploitation, terrorism, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, veteran status, or any other legally protected status.
• Exploit, harm, or attempt to exploit or harm minors in any way, including by exposing them to inappropriate content, requesting personal information, or encouraging unsafe conduct.
• Infringe any patent, trademark, trade secret, copyright, right of publicity, right of privacy, or other intellectual property or proprietary right of any other person.
• Violate the legal rights of others or contain any material that could give rise to civil or criminal liability or otherwise conflict with these Conditions of Use or our Privacy Policy.
• Be false, misleading, deceptive, fraudulent, or likely to deceive any person, including fake reviews, fake engagement, undisclosed endorsements, impersonation, or manipulated ratings.
• Promote illegal activity, advocate, promote, or assist any unlawful act, or provide instructions for illegal activity, fraud, abuse, hacking, malware, or unauthorized access.
• Cause annoyance, inconvenience, needless anxiety, embarrassment, alarm, or distress, or be likely to upset or harass another person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization, including BuyPal, a supplier, a moderator, or another user.
• Involve contests, sweepstakes, chain letters, pyramid schemes, barter, advertising, commercial solicitation, affiliate links, referral-code promotion, or other sales activities without our prior written consent.
• Contain viruses, Trojan horses, worms, logic bombs, corrupted files, spyware, or other software or material that is malicious, technologically harmful, or intended to damage, intercept, or expropriate any system, data, or personal information.
• Disclose another person's personal information, confidential information, trade secrets, or non-public information without authorization.
• Give the impression that the material emanates from or is endorsed by BuyPal or any other person or entity if that is not the case.
• Interfere with the operation of the Website, forums, memberships, credit program, security features, or any user's enjoyment of the Website.

If you believe that your intellectual property rights have been infringed, please see our Intellectual Property Infringement and Copyright Policy for instructions on sending us a notice of infringement. It is the policy of the Company to terminate the user and supplier accounts of repeat infringers.

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.

This Website includes content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

We may update the content on this Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered. You will not be charged until your order is in shipping preparation.

Additional terms and conditions may also apply to specific portions, services, or features of the Website. All such additional terms and conditions are hereby incorporated by this reference into these Conditions of Use.

All prices, discounts, credits, Credit Stickers, and promotions posted on the Website are subject to change without notice. The price charged for a product, service, or membership will be the price in effect at the time the order or membership purchase is placed and will be set out in your order confirmation or membership confirmation, subject to correction of errors as provided in these Conditions of Use.

For each eligible item, the Website may display two dollar amounts. Price 1 is the purchase price the buyer must pay for the item. Under Price 1, the Website may display a Credit Sticker showing the dollar amount of Base Credit or Loyalty Credit the buyer may receive back as a BuyPal credit. The Credit Sticker is not a cash rebate, not an immediate discount, and not a promise that a credit has vested at checkout.

Free Members receive the Base Credit advertised for eligible purchases. Paid Members receive Loyalty Credit for eligible purchases, which is double the advertised Base Credit unless the applicable product page or promotional terms state otherwise. Credits remain pending until the purchased item's applicable credit-release date, subject to active return holds and the other credit requirements in these Conditions of Use.

Posted prices do not include taxes or charges for shipping, handling, processing, membership fees, or other applicable charges unless expressly stated. All such taxes and charges will be added to your merchandise total and itemized in your shopping cart, checkout page, or order confirmation.

We strive to display accurate price and credit information, but we may occasionally make typographical errors, inaccuracies, or omissions related to pricing, credits, product descriptions, membership benefits, availability, shipping, taxes, or promotions. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel or refuse any order, membership, or credit arising from such occurrences.

We may offer promotions that affect pricing, credits, shipping, memberships, or other benefits and that are governed by terms and conditions separate from these Conditions of Use. If there is a conflict between the terms for a promotion and these Conditions of Use, the promotion terms will govern for that promotion only.

Terms of payment are within our sole discretion. Unless otherwise agreed by us in writing, payment must be received by us before we accept or fulfill an order. We accept the payment methods displayed at checkout. You represent and warrant that the payment information you supply is true, correct, complete, and authorized, and that charges incurred by you will be honored by your payment provider.

By purchasing a Paid Membership that renews, you authorize BuyPal and its payment processors to charge your selected payment method for the recurring membership fees, taxes, and other applicable charges at the then-current rate until you cancel as provided in these Conditions of Use.

We will arrange for shipment of products to you. Please check the individual product page and checkout page for delivery options, shipping methods, and estimated delivery dates. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for delays in shipments.

Fees or charges for shipping may include shipping, handling, processing, labor, packaging, warehousing, insurance, return-processing infrastructure, call center costs, distribution center costs, carrier charges, and related order-fulfillment costs.

You will pay all shipping, handling, processing, taxes, and other charges specified during the ordering process. Unless otherwise required by applicable law, title and risk of loss pass to you upon our transfer of the products to the carrier. You are responsible for filing any claims with carriers for lost or damaged shipments after title and risk of loss have passed to you, except to the extent BuyPal expressly agrees otherwise in writing.

We may ship items in a single package or multiple packages, and items in the same order may arrive on different dates. We may restrict delivery to addresses within the United States and may decline to ship to certain addresses, freight forwarders, post office boxes, or other locations in our discretion.

Ordinary return eligibility follows the policy disclosed for your selected item at checkout and saved with your order, including its return window, required condition, packaging and accessories. Some items are final sale. If an item is damaged, defective, missing parts or different from what you ordered, use the return flow or contact Support@buypal.com even if the ordinary return window has closed or the item is final sale. These restrictions do not limit applicable statutory rights or manufacturer warranties.

To return products, you must initiate the return process through the Website or through the return method we make available to obtain a return authorization or other return instructions before shipping your product. No returns of any type may be accepted without the required authorization or instructions, unless applicable law provides otherwise.

Return postage responsibility follows the policy saved with your order. Where that policy permits deductions, BuyPal deducts only confirmed actual costs without markup. Restocking deductions cannot exceed the dollar ceiling disclosed before purchase. Return-label deductions cannot exceed the dollar ceiling disclosed and accepted for that label. Seller-fault returns do not incur these deductions. Unconfirmed costs are not deducted. Deductions reduce the card-paid merchandise portion first and then the credit originally applied to that item, never an unrelated wallet balance; they cannot create a new charge or debt. Follow your return instructions and retain proof of shipment or drop-off.

The purchased policy determines when a return becomes eligible for a refund: this may be without sending the item back, after shipment, after receipt or after inspection. Supplier confirmation of completion is separate from confirmation that the payment refund has succeeded. Returns fulfilled by different suppliers may complete and be refunded separately. Approved card refunds go to the original payment method; your payment provider may require additional time to post them. The return details show the actual refund progress.

Pending purchase and referral credits attributable to returned units are canceled. Earned credits that have already become available are not clawed back for an ordinary product return. Credit originally used to pay for a returned item is restored only to the extent refundable after permitted deductions, retaining its original expiry; an already-expired portion is recorded as lapsed rather than made spendable. Recorded refundable tax is handled separately from merchandise deductions.

Membership fees are governed by the Memberships section of these Conditions of Use and are not subject to the product return policy. Manufacturer warranty information may also be included with your product or in its product description. Contact Support@buypal.com for help with damaged, defective or incorrect items.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE, ITS CONTENT, AND ALL PRODUCTS AND SERVICES OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE WEBSITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ALSO, SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

YOU AFFIRM THAT WE SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY BREACH OF WARRANTY CLAIMS OR FOR ANY DAMAGES ARISING OUT OF THE MANUFACTURER'S FAILURE TO HONOR ITS WARRANTY OBLIGATIONS TO YOU.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

OUR SOLE AND ENTIRE MAXIMUM LIABILITY, FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCTS AND SERVICES YOU HAVE ORDERED THROUGH OUR SITE IN THE TWELVE MONTHS PRECEDING THE EVENT OUT OF WHICH LIABILITY AROSE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct or death or bodily injury caused by products you purchase through the Website.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Conditions of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Conditions of Use, or your use of any information obtained from the Website.

All matters relating to the Website and these Conditions of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New Jersey without giving effect to any choice or conflict of law provision or rule (whether of the State of New Jersey or any other jurisdiction).

YOU AND BUYPAL ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE, OR CONTROVERSY, WHETHER IN CONTRACT, TORT, STATUTE, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE OR EQUITABLE CLAIMS, OR OTHERWISE, BETWEEN YOU AND BUYPAL ARISING FROM OR RELATING IN ANY WAY TO YOUR USE OF THE WEBSITE, PURCHASE OR USE OF PRODUCTS OR SERVICES THROUGH THE WEBSITE, MEMBERSHIP, CREDITS, USER CONTRIBUTIONS, THESE CONDITIONS OF USE, OR THEIR INTERPRETATION, VALIDITY, TERMINATION, OR BREACH, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION, EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION.

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules then in effect, except as modified by these Conditions of Use. The Federal Arbitration Act will govern the interpretation and enforcement of this Dispute Resolution and Binding Arbitration section. The arbitration will be decided by a single arbitrator. The language of the arbitration will be English. The place of arbitration will be Middlesex County, New Jersey, unless the parties agree to proceed by telephone, videoconference, written submissions, or another location or method permitted by the AAA rules.

BuyPal is committed to providing dispute resolution to consumers at a reasonable cost. Payment of filing, administration, and arbitrator fees will be governed by AAA rules. However, for consumer claims totaling less than $5,000, BuyPal will reimburse your portion of arbitrator fees up to $2,500 unless the arbitrator determines that one or more of your claims are frivolous, were brought for an improper purpose, or are not eligible for reimbursement under applicable law or the AAA rules.

The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or these Conditions of Use are void, voidable, or otherwise invalid, except that any challenge to the class action waiver below may be resolved only by a court of competent jurisdiction.

The arbitrator may grant whatever relief would be available in court under law or in equity on an individual basis. Any award of the arbitrator will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

Nevertheless, you may elect to pursue your claim in small-claims court rather than arbitration if you provide us with written notice of your intention to do so within 60 days of your purchase, membership purchase, or membership renewal charge. The arbitration or small-claims court proceeding will be limited solely to your individual dispute or controversy.

If you elect to pursue your claim in small-claims court, the claim must be instituted exclusively in the state courts of the State of New Jersey located in Middlesex County, New Jersey, unless applicable law requires otherwise. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including any objection based on forum non conveniens or improper venue. You may request to attend proceedings by phone or videoconference, and BuyPal agrees not to object to such request if the court permits it.

IN ANY DISPUTE, NEITHER YOU NOR BUYPAL WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS OR USERS IN COURT OR IN ARBITRATION, OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A REPRESENTATIVE, MASS, COLLECTIVE, OR CLASS PROCEEDING.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced to the fullest extent permitted by law.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE CONDITIONS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

These Terms do not and are not intended to confer any rights or remedies upon any person other than you.

No waiver by the Company of any term or condition set out in these Conditions of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Conditions of Use shall not constitute a waiver of such right or provision.

If any provision of these Conditions of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Conditions of Use will continue in full force and effect.

Our Conditions of Use, Terms of Sale, Privacy Policy, and any and all other terms and conditions and documents incorporated by reference, constitute the sole and entire agreement between you and BuyPal Inc regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
